Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of WorkSpotHQ, operated by Nuronics Corp. (“we”, “us”, “our”). By using WorkSpotHQ, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

For signed-in use, we may ask you to confirm acceptance of these Terms and the Privacy Policy in the product before certain features are available. Optional marketing communications are governed by the Privacy Policy and your account settings.

2. Description of the service

WorkSpotHQ provides browser-based tools to convert, merge, split, compress, edit, and process documents and images (for example PDF to Word, image upscaling, background removal). The platform may add, change, or remove tools over time. The service is offered on an as-available basis. Many tools work without an account; we may ask you to sign in when limits or features require it.

3. User responsibilities

You agree to:

• Use WorkSpotHQ only for lawful purposes and in compliance with these Terms.
• Not upload or process content you do not have the right to use, or that is illegal or infringing.
• Not attempt to break security, abuse rate limits, scrape the service in a way that harms others, or use automated means to overload our systems.
• Provide accurate information when you sign in or update your profile.

We may suspend or terminate access if we reasonably believe you have violated these Terms or harmed the service or other users.

4. Account and data responsibility

You are responsible for activity under your account and for keeping your sign-in method secure. You retain ownership of content you upload. You grant us a limited license to use, store, and process that content only as needed to provide the tools you select. How we handle personal data and files is described in our Privacy Policy.

5. Account deletion

You may delete your account at any time.

Upon deletion:

• Your account will be immediately deactivated.
• You will not be able to access the platform until any applicable recovery period ends or you restore your account where offered.

We retain your personal data for up to 30 days after deletion for security, fraud prevention, and recovery purposes.

After this period:

• Your personal data is permanently deleted or anonymized.
• Your activity data may be retained in anonymized form and cannot be linked back to you.

6. Service limitations

WorkSpotHQ is provided “as is” and “as available”. We do not guarantee uninterrupted access, error-free operation, or that results will meet your needs. Each tool may have limits (file size, page count, number of files, etc.) shown on the relevant pages. We may change limits or features to keep the service fair and stable.

The service is currently free for many uses; paid or limited tiers may be introduced in the future. If we add paid plans, we will update these Terms and provide clear pricing and billing information.

7. Intellectual property

WorkSpotHQ, its branding, software, and content we create are owned by Nuronics Corp. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer our software except as allowed by law or with our written permission. You may not use our marks in a way that implies partnership or endorsement without consent.

8. Limitation of liability

To the fullest extent permitted by law, Nuronics Corp. and its affiliates, officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of WorkSpotHQ. Our total liability for claims relating to the service is limited to the greater of (a) the amount you paid us for the service in the twelve months before the claim or (b) one hundred U.S. dollars (USD $100), if you have not paid us. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

9. Termination

You may stop using WorkSpotHQ at any time. We may suspend or terminate access — with or without notice — if you breach these Terms, if we must comply with law, or if we discontinue the service (where we will try to give reasonable notice when practical). Provisions that by their nature should survive (including limitations of liability and intellectual property) will survive termination.

10. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date. If changes are material, we may provide additional notice. Continued use after changes means you accept the updated Terms. If you disagree, you should stop using the service.

11. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Disputes will be brought in the courts located in Delaware, unless applicable law requires otherwise. If any provision is unenforceable, the remaining provisions remain in effect.
