1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of WorkSpotHQ, owned and operated by Nuronics Corp., a company incorporated in Delaware, United States (“we”, “us”, “our”). By using WorkSpotHQ, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

For signed-in use, we may ask you to confirm acceptance of these Terms and the Privacy Policy before certain features are available. Optional marketing communications are governed by the Privacy Policy and your account settings.

2. Description of the service

WorkSpotHQ provides online tools to convert, merge, split, compress, edit, extract text from, and otherwise process documents and images (for example PDF to Word, image compression, background removal). You interact with the service through your browser; file processing runs on our servers, not only in your browser. The platform may add, change, or remove tools over time.

The service is offered on an as-available basis. Many tools work without an account; we may ask you to sign in when limits, billing, or features require it. Plan details and usage limits are described on our pricing and plan pages and may change as described in these Terms.

3. Acceptable use

You agree to use WorkSpotHQ only for lawful purposes and in compliance with these Terms. You must not:

  • Upload, process, or distribute illegal content or content you do not have the right to use.
  • Upload copyrighted material unless you own it or have permission from the rights holder.
  • Upload malware, viruses, or files designed to harm systems, networks, or other users.
  • Upload sensitive personal data, confidential business information, or regulated data (for example certain health or financial records) unless you have proper authority and understand the risks described in our Privacy Policy and Section 4 below.
  • Abuse the service, including excessive automated requests, scraping that burdens our systems, attempts to bypass usage limits or security controls, or use that interferes with other users’ access.
  • Provide false account information or impersonate another person or entity.

We may investigate suspected violations and may suspend or terminate access if we reasonably believe you have breached these Terms or harmed the service or other users.

Copyright and intellectual property complaints

If you believe that any content processed through the Service infringes your intellectual property rights, you may contact us at hello@nuronics.com with a detailed notice describing the alleged infringement.

Upon receiving a valid notice, we may investigate and take appropriate action, including removing access to the content or restricting the associated account, where applicable.

We do not actively monitor or review user-submitted content, and we act only upon receiving specific notices of alleged infringement.

Users are responsible for ensuring that they have the necessary rights to upload and process any files using the Service.

4. File handling disclaimer

Files you upload are transmitted to and processed on our servers. Uploads and generated outputs are kept only for the period needed to complete your request, allow download, and run routine cleanup — as described in our Privacy Policy. We do not guarantee long-term storage, retention, or recovery of any file or output.

You are solely responsible for maintaining your own backups of original files and downloaded results. We are not liable for data loss, corruption, deletion, failed downloads, or processing errors, including where a tool produces incomplete, inaccurate, or unexpected results.

Document and image tools involve technical limitations. Output quality may vary based on source files, formats, encryption, scans, and other factors. You should review outputs before relying on them for important decisions.

Temporary storage for workflows

To improve usability, files may be temporarily retained during your use of the service so you can complete multi-step workflows — for example, converting a file, continuing to another tool, editing, or compressing without uploading the same file again each time.

This temporary retention is limited to:

  • the duration of your active session or workflow, and/or
  • a short, system-defined period after processing needed for download, handoff between tools, and routine cleanup.

By using WorkSpotHQ, you acknowledge and consent to this temporary handling. WorkSpotHQ does not provide permanent storage, file hosting, or archival services. You must not rely on the platform for long-term storage or backup of any content.

5. Account and data responsibility

You are responsible for activity under your account and for keeping your sign-in method secure. You retain ownership of content you upload. You grant us a limited license to use, store, and process that content only as needed to provide the tools you select and operate the service. How we handle personal data and files is described in our Privacy Policy.

6. Service evaluation and purchase acknowledgement

WorkSpotHQ offers a Free plan and paid plans such as Flow and Power (as shown on our pricing pages). Before you subscribe to a paid plan, you should review plan limits, tool availability, and pricing.

By subscribing to Flow, Power, or any other paid plan, you acknowledge and agree that:

  • You have had a reasonable opportunity to access and evaluate the service, including through free usage where available, before or at the time of purchase.
  • You understand the functionality, limits, and known constraints of the tools and plans you are purchasing.
  • You are purchasing access to the service based on your own assessment of whether it meets your needs.
  • We do not guarantee any particular outcome, accuracy, processing speed, uptime, or business result from your use of the tools.

This acknowledgement does not waive any rights you may have under mandatory consumer protection laws that apply to you.

7. Fair usage policy

Usage limits apply according to your plan (Free, Flow, or Power) and the limits shown in the product or on our pricing pages. Even where a plan or feature is described as “unlimited” or without a fixed daily cap, access remains subject to fair usage so we can operate the service reliably for all users.

Fair usage violations may include, for example:

  • Automated or scripted use that exceeds normal human usage patterns.
  • Bulk or high-volume processing intended to strain or circumvent plan limits.
  • Repeated attempts to bypass rate limits, authentication, or billing controls.
  • Any use that materially degrades performance or security for other users.

If we determine your use is abusive or unfair, we may throttle usage, require a plan upgrade, suspend access temporarily, or terminate access as described in Section 14. We will try to apply restrictions proportionately where practical.

8. Plans and payment terms

Plans. Free, Flow, and Power (and any successor plan names) may differ in usage limits, tool tiers, and features. Current limits are shown in the product and on our pricing pages. We may change plan features or limits as described in Section 15.

Payments. Paid subscriptions and one-time purchases, where offered, are processed by Stripe on behalf of Nuronics Corp. or other payment providers we designate. We do not store full payment card numbers on our servers. Billing terms (including renewal, cancellation, and taxes) are presented at checkout and in your account where available.

Refunds. Except where required by applicable law or where we expressly state otherwise in writing at checkout or in a separate refund policy, fees are non-refundable. If we offer a refund request process, submitting a request does not guarantee approval.

Pricing changes. We may modify prices, plans, or billing intervals. Changes to recurring subscriptions generally apply from your next billing cycle after notice where required by law or our billing terms.

Payment processing is handled by third-party payment processors, including Stripe. We do not collect or store your full payment card details on our servers. All payment information is processed directly by the payment processor in accordance with their own privacy policies and security standards.

We are not responsible for any errors, outages, delays, or security incidents caused by third-party payment processors. Any payment disputes, chargebacks, or billing issues are subject to the terms and policies of the payment processor.

9. Third-party services

Our Service relies on third-party infrastructure and service providers, including but not limited to hosting, database, analytics, authentication, email delivery, and payment processing providers (such as Vercel, Supabase, PostHog, Resend, and Stripe).

These third-party providers operate independently and are responsible for their own systems, security, and operations. We do not control and are not liable for the performance, availability, security, or actions of these third-party services.

Your use of the Service may also be subject to the terms and policies of these third-party providers.

10. Disclaimer of warranties

To the fullest extent permitted by applicable law, WorkSpotHQ is provided “as is” and “as available”. We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be:

  • Accurate, complete, or suitable for your specific purpose.
  • Uninterrupted, timely, secure, or error-free.
  • Free from defects, data loss, or harmful components.

While we implement commercially reasonable and industry-standard safeguards to protect data and ensure service reliability, we do not guarantee that the Service will be uninterrupted, secure, or free from errors, including those arising from third-party systems.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the maximum extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by applicable law, Nuronics Corp. and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption, arising from or related to your use of (or inability to use) WorkSpotHQ, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the service or these Terms is limited to the greater of:

  • the total amount you paid us for WorkSpotHQ in the twelve (12) months immediately before the event giving rise to the claim; or
  • one hundred U.S. dollars (USD $100) if you have not paid us during that period.

These limitations apply to the maximum extent permitted by law. Nothing in these Terms limits liability where such limitation is prohibited by mandatory law (for example, certain consumer rights).

12. Intellectual property

WorkSpotHQ, its branding, software, and content we create are owned by Nuronics Corp. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer our software except as allowed by law or with our written permission. You may not use our marks in a way that implies partnership or endorsement without consent.

13. Account deletion

You may delete your account at any time where the product offers that option.

Upon deletion:

  • Your account will be deactivated.
  • You may not be able to access the platform until any applicable recovery period ends, if offered.

We may retain certain personal data for a limited period after deletion for security, fraud prevention, billing, and legal compliance, as described in our Privacy Policy.

14. Termination and suspension

You may stop using WorkSpotHQ at any time. We may suspend or terminate your access — with or without notice where permitted by law — if you breach these Terms, abuse the service (including under our fair usage policy), engage in suspicious or fraudulent activity, if we must comply with law, or if we discontinue the service (where we will try to give reasonable notice when practical).

Provisions that by their nature should survive (including acceptable use, disclaimers, limitations of liability, governing law, and intellectual property) will survive termination.

15. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date. If changes are material, we may provide additional notice. Continued use after changes take effect means you accept the updated Terms, except where applicable law requires otherwise. If you disagree, you should stop using the service.

16. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

You agree that any disputes arising out of or relating to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.

Nothing in this section shall limit any mandatory consumer protection rights that may apply to you under applicable law.
